Governance and Compliance Framework
Rutalien administers physical exhibition inventory on behalf of applicants whose standing it has examined. This Framework states the organs through which that examination is conducted, the standard applied, and the controls under which records are kept.
Delegation of authority
Who decides, and under what mandate
No determination is made by a single unsupervised hand. Authority is delegated in writing, exercised on the record, and reviewable.
Authorization Office
Holds the standing mandate to receive corporate files, examine tendered instruments and record determinations. Officers act under written delegation and may not adjudicate a file in which they hold any interest, direct or indirect.
Review Committee
Convened where a file discloses adverse public record, contested beneficial ownership, or a prior refusal. The Committee may confirm, vary or set aside an officer's determination and its record forms part of the file.
Integrity and Records Function
Maintains the audit register, administers retention and destruction schedules, and is the channel through which lawful demands from public authorities are answered.

The three limbs of examination
The standard is drawn from the diligence customarily exercised by a regulated credit institution before the extension of facilities, adapted to the physical and reputational exposure of the exhibition floor.
Identity and constitution
Corporate existence is established from the register of the jurisdiction of incorporation, not from the applicant's assertion. A certificate of status must be current within thirty (30) days of tender and must disclose no default in annual filing.
Substance of trade
The office looks for an operating business rather than a registration: financial statements or filed returns for the most recent complete period, evidence of premises and payroll, tax registration, and sectoral licensing where the declared activity is regulated.
Persons behind the applicant
Beneficial ownership is traced to natural persons at every layer of intermediate holding. Directors and controlling persons are screened against sanctions instruments, disqualification registers and adverse public record.

Principles binding upon this office
Determinations are made on the record
An officer determines a file on the instruments before the office at the time of determination. Assurances given in correspondence, in a telephone call, or by an intermediary form no part of the record and are incapable of supporting an approval.
Approval is a point-in-time finding
An approval speaks only as at its recorded date and only to the standard of admission applied by this office. It is not a credit opinion, a solvency certificate, a warranty of the applicant's conduct, or a representation upon which any third party may rely.
The burden lies on the applicant
The applicant bears the burden of establishing its eligibility. Where an instrument is illegible, unauthenticated, expired on its face, or inconsistent with another instrument on the file, the office resolves the doubt against admission.
Every act is attributable
Filings, examinations and determinations are written to the audit register with the identity of the acting officer and the time of the act. Records are retained for not less than seven (7) years and are producible to a competent authority on lawful demand.
Conflicts are declared and excluded
An officer holding any interest in an applicant, or any relationship capable of appearing to affect impartiality, is excluded from the file and the exclusion is recorded. No officer may solicit or accept any benefit from an applicant.
Refusal is reasoned; approval is conditional
A refusal is recorded with written reasons particularising each deficiency. An approval may be made subject to conditions, and may be suspended or withdrawn where a condition is not observed or where a material change of circumstance is discovered.
